1. Scope

These Terms and Conditions apply to all consulting, coaching and moderation services offered by Anne Damrau under the name Bandcounseling, hereinafter referred to as “Bandcounseling”.

The services are aimed in particular at bands, music groups, musicians and other individuals and groups working in the music sector.

Individual agreements made as part of an offer or order confirmation shall take precedence over these Terms and Conditions.

2. Formation of the Contract

The presentation of services on the website does not constitute a binding contractual offer.

Initial contact via the contact form, email, telephone or any other means is non-binding.

A contract is concluded when Bandcounseling submits a specific offer and this offer is accepted by the client, or when a counselling session is expressly and bindingly agreed.

For bookings made on behalf of a band or music group, it must be established before counselling begins who the contractual partner of Bandcounseling is. Anyone making a booking on behalf of a band, group or organisation confirms that they are authorised to do so.

3. Scope of Counselling Services

Bandcounseling provides counselling, coaching and moderation services for bands and music groups. The objectives may include, in particular:

improving communication within a band,
identifying conflicts and differing interests,
recognising recurring patterns and dynamics,
supporting decision-making processes,
developing new perspectives and possible solutions,
supporting change within the group.

Methods and approaches from systemic counselling may be used, and the music, working methods and history of the respective band may be incorporated into the counselling process.

The specific content and scope of the counselling will be agreed individually.

4. Distinction from Therapy and Medical Treatment

Bandcounseling is a counselling and coaching service.

No mental or physical illnesses are diagnosed or treated.

If, during the course of the work, it becomes apparent that medical or psychotherapeutic treatment may be advisable or necessary, Bandcounseling may recommend consulting an appropriately qualified professional.

5. No Guarantee of a Specific Outcome

Bandcounseling accompanies and supports counselling and change processes. However, no specific result or outcome can be guaranteed.

Decisions and the implementation of ideas and solutions developed during counselling remain the responsibility of the clients and/or participants themselves.

In particular, no guarantee can be given that conflicts will be fully resolved, that a band will remain together, or that particular personal, artistic or financial goals will be achieved.

6. Participation of Those Involved

Successful counselling requires the active and generally voluntary participation of those involved.

Clients agree to provide information relevant to the counselling process to the best of their knowledge.

Bandcounseling may refuse, suspend or terminate counselling if constructive cooperation does not appear possible or if circumstances make it unreasonable to continue the counselling process.

Audio, video or other recordings of counselling sessions may only be made with the express consent of all participants.

7. Confidentiality

Bandcounseling will generally treat personal and confidential information disclosed during the counselling process as confidential.

Information disclosed in confidential one-to-one conversations with individual band members will not be shared with other band members without the consent of the person concerned, unless otherwise expressly agreed in advance.

Exceptions to confidentiality apply where disclosure is required by law or is necessary to protect legitimate legal interests.

Participants are also requested to treat personal or confidential statements made by other participants during counselling sessions as confidential. However, Bandcounseling cannot accept legal responsibility for ensuring that other participants actually maintain such confidentiality.

8. Appointments and Delivery of Services

Counselling sessions may, by agreement, be conducted:

in person,
via video or audio conference, or
in another mutually agreed format.

The location, duration and scope of each counselling session will be agreed in advance.

For online appointments, participants are responsible for ensuring that they have a suitable internet connection and the necessary technical equipment.

9. Cancellation of Appointments

Agreed appointments may be cancelled or rescheduled free of charge up to 48 hours before the agreed start time.

In the event of a later cancellation or failure to attend, Bandcounseling may charge the agreed fee insofar as the appointment cannot be allocated to another client. Any expenses saved as a result of the cancellation and any income earned or reasonably capable of being earned through alternative use of the appointment will be taken into account.

Any costs already incurred and no longer refundable in connection with the agreed appointment – for example train tickets, travel bookings, accommodation or room hire – must be reimbursed by the client regardless of when the appointment is cancelled, provided that these costs were agreed in advance or were necessary for carrying out the appointment.

The client expressly retains the right to demonstrate that Bandcounseling suffered no financial loss or a substantially lower financial loss as a result of the cancellation.

If a cancelled appointment can be allocated to another client, no cancellation fee will be charged for the appointment. Any costs already incurred and not refundable remain unaffected.

If the client arrives late, there is generally no entitlement to an extension of the agreed appointment time.

10. Cancellation by Bandcounseling

If Bandcounseling has to cancel an appointment, for example due to illness or other unforeseeable circumstances, an alternative appointment will be offered as soon as reasonably possible.

Any payments already made for an appointment that cannot be rescheduled will be refunded in full.

Any further claims shall only exist within the scope of the applicable statutory liability provisions.

11. Fees and Payment Terms

The prices individually agreed in each case shall apply.

Fees and any applicable travel, accommodation, room hire or other additional costs will be agreed before the booking or engagement is confirmed.

Unless otherwise stated on the invoice, invoices are payable in full within 14 days of the invoice date.

12. Travel and Additional Expenses

For counselling sessions taking place outside Berlin, additional travel, transport, accommodation or room hire costs may be charged by prior agreement.

These costs will be agreed with the client before a binding booking is made.

13. Counselling Materials and Copyright

Materials, exercises, concepts or other resources provided by Bandcounseling may be used by participants for their own purposes in connection with the counselling process.

Publication, distribution, reproduction or commercial use of these materials is not permitted without the prior consent of Bandcounseling insofar as the relevant content is protected by copyright.

14. Liability

Bandcounseling shall have unlimited liability in cases of intent and gross negligence as well as for damages resulting from injury to life, body or health.

In the event of a slightly negligent breach of essential contractual obligations, liability shall be limited to the foreseeable loss or damage typical for the type of contract concerned.

Otherwise, liability for damages caused by slight negligence is excluded to the extent permitted by law.

In particular, Bandcounseling accepts no liability for personal, artistic, professional or financial decisions made by participants on the basis of or in connection with counselling.

15. Data Protection

Personal data will be processed exclusively in accordance with applicable data protection legislation.

16. Ongoing Counselling and Termination

Where several counselling sessions or longer-term support have been agreed, the details regarding duration and termination may be agreed individually.

The right of either party to terminate the agreement for good cause remains unaffected.

Services already provided must be paid for in accordance with the agreement in the event that the counselling relationship is terminated.

17. Consumer Dispute Resolution

Bandcounseling is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

18. Applicable Law and Jurisdiction

The law of the Federal Republic of Germany shall apply.

In relation to consumers, this choice of law shall apply only insofar as it does not deprive the consumer of mandatory consumer protection provisions applicable in the country in which they have their habitual residence.

If the client is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction shall, to the extent permitted by law, be the registered place of business of Bandcounseling.

19. Final Provisions

Should any individual provision of these Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.

The applicable statutory provisions shall take the place of any invalid provision.

Cancellation Policy for Consumers
Right of Withdrawal

Consumers have the right to withdraw from a distance contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the date on which the contract is concluded.

To exercise the right of withdrawal, the consumer must notify:

of their decision to withdraw from the contract by means of a clear statement, for example by email or letter.

To meet the withdrawal deadline, it is sufficient for the notification concerning the exercise of the right of withdrawal to be sent before the withdrawal period has expired.

Consequences of Withdrawal

In the event of a valid withdrawal, payments already received will generally be refunded without undue delay and no later than within the period prescribed by law.

If the consumer has expressly requested that Bandcounseling begin providing the agreed service during the withdrawal period, the consumer may be required to pay an appropriate proportion of the agreed fee for services already provided up to the time at which the withdrawal is exercised.

The right of withdrawal expires once the agreed service has been fully performed, provided that, before performance began, the consumer expressly agreed that Bandcounseling could begin providing the service before the end of the withdrawal period and simultaneously acknowledged that the right of withdrawal would be lost once the service had been fully performed.
